CONSTITUTION AND BYLAWS OF
THE CLUB DES ALUMNI DE L’UNAH ( CALUNAH )

PREAMBLE

WE, the representatives of the former students and employees of the
Adventist University of Haiti (UNAH), in order to enhance the spirit,
pride, and tradition of student life and effectively provide a voice for
former students in the Alumni Association, do ordain and establish this
constitution to unite the  former students of UNAH and serve as the
official canon of the Student Alumni Association of UNAH in the diaspora.

Article I – NAME

The name of this association shall be the "Club des Alumni de L'Université
Adventiste d'Haiti" hereafter referred to as "CALUNAH".


Article II PURPOSE
The purpose of CALUNAH is

a.       To build a strong support and loyalty for UNAH among its former
students and former employees
b.       To foster a spirit of fellowship among the former employees and
students
c.       To keep members informed regarding UNAH current development.                                
d.       To help identify and recruit students who would benefit from UNAH
courses and programs
e.      To assist with the fundraising activities which will advance UNAH's    
programs and enhance scholarship aid for qualified potential students.
f.       To foster a better understanding of UNAH
g.      To facilitate a forum for the exchange of information and
experience with UNAH and its former employees and students.
h.     To represent CALUNAH in community events
i.      To provide services to alumni.


Article III – MEMBERSHIP

There will be three classes of membership as follows :

a.      Regular Members :
a.1    All former employees,
a.2  All recipients of degrees or diplomas from the University
a.3   And all persons who have completed at least one semester in good standing and not presently
enrolled as a student.
b.    Associate Members: Present members of the administrative staff,
faculty members, members of the UNAH board of directors, who are not
regular members.
b.      Honorary members:  Persons who have rendered or may render valuable and conspicuous service to
UNAH or CALUNAH. Honorary membership shall be granted by a vote of the CALUNAH board of directors.

Only regular members shall be eligible to vote or hold office in CALUNAH.
All members shall pay a yearly membership fee as established by the Board
of Directors.
ARTICLE IV – TERRITORY

Although CALUNAH is currently operating in the United States and Canada,  its doors are open to all former
students and employees residing outside of Haiti.
When it comes to services, CALUNAH'S actions are sans frontières.


ARTICLE V - BOARD OF DIRECTORS

The Board of Directors is a body made of the chairperson-elect, the chairperson, the vice chairperson for
finances, the vice president for fund-raising, the vice president for public relations, the executive director as
secretary, the current President of the l’Université Adventiste d’Haiti (UNAH), the Dean of students affairs
and the President of the alumni association of UNAH and twelve (12) members selected among CALUNAH
State Commissioners and Correspondents.
The board of directors shall be elected for a three year term by the constituency.
ARTICLE VI – EXECUTIVE COMMITTEE
This body is constituted of members appointed by the Board of Directors. They are : The chairman, the
Executive Director ( President ), The executive secretary, the treasurer, the chairperson of all the
subcommittees and six additional members.
ARTICLE VII. STATE COMMISSIONERS AND AREA CORRESPONDENTS
Section 1. There shall be appointed a State Commissioner (SC) in every State in the USA or every Province
in Canada where there are CALUNAH members whether few or many.
Section 2.  There shall be also designated an Area Correspondent (AC) in every area in the US or in
Canada such as a church community or any agglomeration of interested.
The State Commissioners and the Area Correspondents shall be appointed by the Board of Directors of
CALUNAH.

BYLAWS
ARTICLE 1. Board of Directors
The officers of the Board of Directors shall serve for three years. They will meet at least once a year to :
Adopt broad policies of CALUNAH
Receive reports from CALUNAH Executive committee
Appoint the Executive director, the executive secretary, the treasurer of
CALUNAH, and the members of the Executive Committee.
Approve membership applications to establish CALUNAH chapters in various
states and provinces.
Approve the annual budget of CALUNAH
Authorize major projects, strategic plans, and annual calendar
Receive the audited statements of CALUNAH.
Approve and recommend to the triennial assembly the amendments to the
constitution and bylaws.
All officers and board of Directors shall serve without compensation.
Upon completion of the term of office the past president of CALUNAH shall
become a member of the member of the board of Directors.


ARTICLE 2. Executive Committee

The Executive Committee is responsible
for planning and executing various projects for the advancement of CALUNAH, including annual giving
campaign, annual banquet,
Authorizing all expenses according to the budget approved by the Board of
Directors.

The members of the executive committee are appointed for two years by the
Board of Directors.
The chairpersons of all the subcommittees are automatically members of the
executive committee.

ARTICLE 3. The Executive Director or President
Is the chief executive officer of CALUNAH
Section a.)
S/He shall be nominated by the board of directors and elected by the constituency for two years.  
S/he is responsible to:
Coordinate all the aspects of CALUNAH.
Serve as Chairperson of the executive committee in the absence of and with the consent of the chairperson.
Call all committee meetings.
Serve as a member of all subcommittees.
Serve as a member of the Board of Directors.
Make decisions, in consultation with the President of the Board of
Directors, for CALUNAH between the meetings of the committees.
Be the official spokesperson for CALUNAH.
Section b. The Executive Secretary
S/He is in charge of the interior and the exterior Correspondences of CALUNAH.S/He cosign with the
President of the executive committee. He maintains up to date the membership record of CALUNAH. He is
competent to inform third parties about all activities of CALUNAH.
Section c.) The Treasurer
The Treasurer is in charge of all financial activities of CALUNAH. He shall submit a report at the regular
meetings of the Executive Committee. He shall also prepare and submit to the board the annual budget of
the Association.
Article 4. The State Commissioners and the Area Correspondents
Section a.) The State Commissioners ( SC ) shall represent the interests of CALUNAH and take initiatives
on behalf of the Association as usually pertain to such officers as the Board of Directors may prescribe.
They work in close relationship with the President of CALUNAH.
Section b.) The Area Correspondents ( AC ) are appointed in consultation with the State Commissioners (
SC ) to support the activities and the initiatives of the latter as usually pertain to such officers and other
duties and initiatives as the Executive Committee may prescribe. They will also assist in recruiting new
members and supporters of CALUNAH in their areas.
The State Commissioners and the Area Correspondents shall be appointed for two years.

ARTICLE 5.    Subcommittees

The board of directors will appoint the following subcommittees for a tern
of one year:
Public Relations
Finance (Budget and Audit)
Annual Event (Banquet and/or other)
Special project (That committee will recommend which projects CALUNAH will
adopt, finance, or assist).

Fund raising (Major gifts, grants, etc.)
ARTICLE 6. Meetings

a.        There shall be at least one scheduled meeting of CALUNAH’s Board of Directors each year. It shall
be held the fourth quarter of the calendar year. Special meetings may be called at any time by the
Executive Committee or by any five members of the Board of Directors.
b.        The Executive Committee shall meet each quarter and or as needed by the Executive Director ( The
President of CALUNAH ). The time and location of the meetings are to be announced at least 20 days in
advance.
c.        Emergency meetings remain also a possibility. Nevertheless the chair along with the Executive
Director should send the communiqué within the limits of 72 hours. And such emergency meeting may take
place through conference call.
d.        All regular meeting at the Board of Directors level or at the Executive Committee level shall be
presided by the Chairperson duly appointed for such office. However in his absence and with his consent
another officer will preside ; in the case of the Executive Committee the Executive Director will take over.
e.        At least thirty percent (30%) of the members shall constitute a quorum to transact any business or to
take major decisions for the Association.

ARTICLE  7. Dissolution

If at any time CALUNAH should be dissolved or otherwise cease to exist, the title of all its property, assets
and effects shall be disposed to the benefits of UNAH by a special meeting of the members called by the
Board of Directors .

ARTICLE  8. Amendments

These Bylaws may be amended by two-third of the members of the Association present at any regular
meeting when the proposed amendment does not conflict with the Articles of the Association. When it is
proposed to change the Bylaws at any special meeting of the members, of the Association, notice shall be
given to this effect in the call in the meeting, and the nature of the proposed amendment shall be stated.
These bylaws may also be amended by a two-thirds vote of the Board of Directors ;  provided that notice,
including the language of the amendment, of any such board amendment shall be given to the members of
the corporation at the next scheduled regular or special membership meeting following such adoption, and
the members may by two-thirds vote, change or rescind any such amendment.
